A draft instrument awaiting board adoption. No body has adopted it, no one can sign it, and nothing in it is in force. It states what a Guild Participant would get and would owe, that signing it would not make anyone a member, and how time in the guild would count toward an invitation to the patron class.

The Bylaws citations below are therefore to the current draft, Bylaws v2.1, and a companion instrument, Pre-Ratification Revision No. 1, proposes revising draft Bylaws 1.1(c) so the class these Terms sit inside is defined as a participant class rather than "a member." These Terms do not depend on that revision: section 1.1 states the non-membership rule in its own words.
A. RegenHub, LCA (the "Cooperative") was formed under the Colorado Uniform Limited Cooperative Association Act, C.R.S. Title 7, Article 58, filed February 6, 2026, and operates the Techne craft-guild Program: a network of self-organizing communities of practice.
B. The Cooperative's public participation surface has described a virtual guild as being built and not open, and the legal shelf records these Guild Participation Terms as anticipated and unwritten. This document is the instrument that closes that gap, once adopted.
C. Bylaws v2.1, Article I, section 1.1(c), as published at /legal/bylaws/, establishes the Community Participant class (Class Three); Bylaws Schedule A provides that the financial terms of that class are "Set by Board resolution upon establishment of the class" and that classes without an executed membership agreement "carry no financial terms until the Board establishes them by resolution." These Terms are the terms that resolution sets, together with Amendment No. 1 to the Participation Framework, in the same board packet. The formation notice states that the governing instruments are board-adopted, that member ratification is anticipated, and that no member has been admitted; these Terms are conditioned on that foundation completing.
1.1 This is a participation agreement between the Cooperative and the person who signs it (the "Guild Participant"). It is not a membership instrument. Signing it does not make the Participant a member of RegenHub, LCA within the meaning of C.R.S. section 7-58-102(13), is not a contribution within the meaning of C.R.S. section 7-58-102(5), and confers no vote, no capital account, no member's interest, and no share of what the Cooperative earns.
1.2 Where these Terms and the Bylaws or Articles differ, the Bylaws and Articles control. Where any page of techne.coop and this instrument differ, this instrument controls once adopted; until then the formation notice controls everything.
2.1 The guild is the virtual way into the Techne community of practice: participation from anywhere, without presence in Boulder. It carries the directory, the gatherings, access to the courses and the public record, and standing in the community of practice described at techne.coop/community-of-practice.
2.2 The guild is organized as self-organizing communities of practice. Guild Participants may convene practice groups within the guild; convening confers no authority over the Cooperative.
3.1 Dues are payable monthly at one of four tiers, self-chosen by the Participant at enrollment: ten dollars ($10), twenty five dollars ($25), one hundred dollars ($100), or two hundred dollars ($200) per month. These are the four amounts published on the participation page; instrument and page state the same term.
3.2 A Participant may move between tiers prospectively at any time on notice to the Cooperative. Every tier opens the same doors. No tier purchases governance, priority, or standing over any other Participant.
3.3 Dues are dues, never capital, at any tier. No portion of any payment under these Terms is a capital contribution, opens a capital account, entitles the Participant to any allocation or distribution, or is credited toward the membership share described in section 5.
3.4 A Participant whose dues lapse remains in good standing for a grace period of sixty (60) days, after which participation lapses without penalty and may be resumed by re-enrollment.
4.1 Enrollment is open: no invitation and no buy-in. A Participant may withdraw on reasonable notice with no exit obligation.
4.2 The Cooperative may suspend or end a participation for conduct that harms the community, on notice and with a stated reason.
5.1 Time in the guild counts toward an invitation to Cooperative Member (Class One, the patron and voting class) the same way time at a desk does. After ninety (90) days of continuous participation in good standing, a Guild Participant becomes invitable.
5.2 An invitation arises when two (2) Cooperative Members have each recorded an invitation for the Participant. Board election GUILD-D2: two is the drafted count; the board may set three.
5.3 On invitation and board acceptance, the applicant executes the Membership Agreement, pays the one-time membership share of $100, which opens a capital account, and pays annual dues of $100, per Bylaws Schedule A as published for Class One. Guild dues paid under section 3 are not credited against the share or the membership dues.
5.4 Membership arrives only this way: by invitation, by acceptance, and by execution. No duration of guild participation and no amount of dues creates a right to membership.
6.1 These Terms take effect only on board adoption, together with Amendment No. 1 to the Participation Framework establishing the Guild Participant level. Adoption of these Terms alone does not open the guild.
6.2 Amendments are prospective only: a new version and a new adoption.

Implementation note, not part of the instrument. Enrollment at four fixed monthly tiers implies four recurring billing products plus tier-change handling. That is implementation for a person with payment authority after adoption. Nothing in this instrument creates or authorizes any payment configuration, and the drafting agent has no authority over money.
